Service Terms

These Service Terms form an agreement between you and JYLUS SYSTEMS PTY LTD (ACN 700 806 962) (Jylus) when you create a Jylus account or use the service. If you use Jylus for an organisation, you confirm that you have authority to accept these terms for that organisation.

Account and authority

You must provide accurate account information, be authorised to use the data you submit, and keep credentials, recovery codes, and API keys secure. You are responsible for activity performed through your account and must promptly tell Jylus about suspected unauthorised access.

Service and plans

Jylus provides data ingest, retrieval, search, evidence preparation, and related account tools. Features, capacity, retention, support, and usage limits are those published for your selected plan or agreed separately in writing. Usage above a plan limit may be rejected, rate limited, or require an upgrade.

Acceptable use

Do not use Jylus unlawfully; interfere with the service; bypass security, isolation, or usage controls; probe another customer's systems or data; distribute malware; facilitate abuse; or submit content that infringes another party's rights. Security testing of your own integration must remain within your workspace unless Jylus has approved a broader test in writing.

Customer data

You retain ownership of data you submit. You grant Jylus only the limited rights needed to host, copy, transmit, index, transform, and otherwise process that data to provide, secure, maintain, and support the service, comply with law, and prevent abuse. You must have all rights and notices required to submit and process that data.

AI training and operational telemetry

Jylus does not use Customer Data to train general-purpose AI or machine-learning models unless you expressly agree. Jylus may use aggregated or de-identified performance, latency, error, capacity, and usage telemetry to operate, secure, analyse, and improve the service, provided it does not disclose Customer Data or identify you.

Confidentiality

Each party must protect the other party's non-public confidential information using reasonable care and use it only to perform or receive the service. Customer Data is your confidential information. Jylus software, security information, non-public documentation, and commercial information are Jylus confidential information. Disclosure is permitted to personnel and service providers who need access and are bound by confidentiality duties, or where required by law.

Privacy and security

Jylus handles personal information in accordance with its Privacy Notice and applies reasonable technical and organisational safeguards. No online service is risk free. You must configure retention and access appropriately for your use case and must not submit regulated or highly sensitive data unless your plan and a separate written agreement expressly support it.

Jylus technology

Jylus and its licensors retain all rights in the platform, engine, architecture, APIs, algorithms, retrieval and search technology, compression technology, context and evidence compilation technology, documentation, branding, and all improvements and derivatives. These terms give you a limited, non-exclusive, non-transferable right to use the service while your account is active. Your workload, data, or feedback identifying an issue or improvement does not give you ownership of Jylus technology or improvements. Jylus may use feedback without identifying you or disclosing your confidential information.

Free and paid capacity

Creating a free account does not authorise a charge. Before any payment, checkout will show the selected plan, price, billing period, and applicable taxes. Paid subscriptions renew for the selected billing period until cancelled. You may cancel future renewal through the billing portal; cancellation normally takes effect at the end of the paid period, subject to rights that apply under law.

Third-party services

Optional integrations and payment, email, hosting, or identity providers may be governed by their own terms. Jylus is responsible for selecting and managing its service providers, but is not responsible for third-party products that you independently connect or control.

Service operation

Jylus may perform maintenance and make reasonable changes needed to secure, operate, or improve the service. Jylus will give reasonable notice of a material adverse change where practicable. Unless a separate written service-level agreement applies, uninterrupted or error-free operation is not guaranteed.

Source copies and recovery

You must maintain appropriate source copies or backups of important Customer Data. Unless a separate written service-level or data-protection agreement says otherwise, Jylus does not guarantee that deleted, corrupted, or lost Customer Data can always be recovered.

Suspension and termination

Jylus may proportionately restrict or suspend access where reasonably necessary to address abuse, a security risk, non-payment, legal requirements, or a material breach. Notice and an opportunity to remedy will be provided where practical. You may stop using Jylus at any time. Export data you need before closing a workspace; data may be deleted after closure, subject to law and normal backup cycles.

Customer indemnity

To the extent permitted by law, you indemnify Jylus against third-party claims, losses, and reasonable costs arising from Customer Data you do not have the right to use, Customer Data that infringes third-party intellectual-property rights, unlawful use of the service, or a material breach of the acceptable-use requirements. Jylus must promptly notify you of a claim, allow you reasonable control of its defence, and provide reasonable cooperation. This does not apply to the extent a claim was caused by Jylus.

Consumer rights and liability

Nothing in these terms excludes, restricts, or modifies a guarantee, right, or remedy that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law. To the extent permitted by law, neither party is liable for indirect or consequential loss that was not reasonably foreseeable. Jylus's aggregate liability arising from the service or these terms is limited to the fees you paid or were required to pay Jylus for the service during the 12 months before the event giving rise to the claim. For a free account, liability is limited only to the extent permitted by law. This cap does not limit liability that cannot lawfully be limited, or liability for fraud or wilful misconduct.

Governing law

These terms are governed by the laws of Western Australia and the Commonwealth of Australia. Subject to any right you have to bring a claim elsewhere under a law that cannot be excluded, the courts of Western Australia have jurisdiction.

Changes to these terms

Jylus may update these terms for legal, security, operational, or service changes. Material changes will be notified reasonably in advance where practicable and will apply from the stated effective date. If you do not agree to an update, you may stop using the service before it takes effect.
